Binding Legal Agreement

These Terms and Conditions constitute a legally binding agreement between you and FrameLight regarding your use of our website and cinematography services. By engaging with our services or using our website, you acknowledge that you have read, understood, and agree to be bound by these terms.

These terms supplement and should be read in conjunction with our Terms of Service, Privacy Policy, and any specific project agreements you enter into with FrameLight. In the event of any conflict between these general terms and specific project agreements, the project agreements shall take precedence.

User Obligations and Responsibilities

1. Compliance with Laws and Regulations

You agree to comply with all applicable laws and regulations when using our services, including but not limited to:

  • Copyright laws and intellectual property rights
  • Data protection and privacy regulations
  • Commercial advertising and marketing standards
  • Location filming permits and permissions where applicable
  • Employment law and contractor regulations if hiring through our services

2. Accuracy of Information

You represent and warrant that all information provided to FrameLight during consultations, project planning, and execution is accurate, complete, and not misleading. This includes information about project objectives, intended use of materials, budget constraints, timeline expectations, and any relevant legal or contractual restrictions that may affect our work.

3. Content Guidelines and Restrictions

When commissioning our services, you agree not to request or expect us to create content that:

  • Violates any laws or regulations
  • Infringes on third-party intellectual property rights
  • Contains defamatory, discriminatory, or harmful material
  • Promotes illegal activities or unethical practices
  • Misrepresents facts or engages in deceptive marketing

We reserve the right to decline projects that conflict with our ethical standards or legal obligations.

4. Client Cooperation Requirements

Successful project completion requires your cooperation in providing timely feedback on concepts and drafts, making necessary personnel or locations available for filming as scheduled, supplying required materials, content, or information within agreed timeframes, obtaining necessary permissions, releases, and approvals before filming, and communicating any concerns or changes to project scope promptly.

5. Age and Capacity Requirements

By engaging our services, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are representing an organization, you warrant that you have the authority to bind that organization to these terms.

Indemnification Obligations

You agree to indemnify, defend, and hold harmless FrameLight, its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your breach of these Terms and Conditions
  • Your violation of any laws or third-party rights
  • Content or materials you provide that infringe intellectual property rights
  • Your use of our services or work product in ways not authorized by project agreements
  • Claims by third parties arising from your commissioned work

This indemnification obligation survives termination of any project or service agreement and extends to reasonable attorney fees and litigation costs incurred in defending such claims.

Warranties and Disclaimers

Our Limited Warranties

FrameLight warrants that our cinematography services will be performed with reasonable skill and care consistent with industry standards. We warrant that we have the necessary rights and permissions to provide our services and that our work, to the best of our knowledge, does not infringe upon third-party intellectual property rights.

Disclaimer of Other Warranties

Except as expressly stated in project agreements, our services and website are provided on an "as is" and "as available" basis. We disclaim all other warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability or fitness for a particular purpose
  • Warranties regarding specific creative outcomes or subjective quality assessments
  • Guarantees of particular business results from use of our cinematography
  • Warranties of uninterrupted or error-free website operation

Creative Services Disclaimer

Cinematography is an inherently creative and subjective field. While we strive to meet your expectations and project objectives, we cannot guarantee that the final work product will match your subjective preferences in all respects. Client approval processes are built into project workflows to address creative concerns during production.

Technical Limitations Disclaimer

While we use professional-grade equipment and maintain high technical standards, certain factors beyond our control may affect project outcomes, including weather conditions for location shoots, technical malfunctions of equipment, availability of third-party resources, and unforeseeable production challenges. We will make reasonable efforts to mitigate such issues and communicate proactively about any significant concerns.

Limitation of Liability

Exclusion of Consequential Damages

To the maximum extent permitted by law, FrameLight shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunities, reputational harm, data loss, or costs of substitute services, arising from or related to our services or these terms, regardless of whether we were advised of the possibility of such damages.

Cap on Direct Damages

Our total aggregate liability for all claims arising from or related to any project or service shall not exceed the total amount paid by you to FrameLight for that specific project or service during the twelve months preceding the claim. This limitation applies regardless of the legal theory under which the claim is brought.

Exceptions to Limitations

These liability limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or willful misconduct. Additionally, specific project agreements may outline different liability terms for particular high-value or high-risk projects.

Third-Party Claims

We are not responsible for claims or disputes between you and third parties arising from your use of our services or work product. You acknowledge that you are solely responsible for ensuring you have appropriate rights, licenses, and permissions for the intended use of commissioned cinematography.

Force Majeure

FrameLight shall not be liable for any failure or delay in performance of our obligations under these terms or any project agreement to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, government actions, power failures, or equipment failures not caused by our negligence.

In the event of force majeure circumstances affecting project timelines, we will communicate with you promptly and work to find reasonable alternative solutions, which may include rescheduling, adjusting project scope, or, in extreme cases, terminating the project with appropriate refunds as outlined in the specific project agreement.

Legal Information and Dispute Resolution

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales, without regard to conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

Jurisdiction

Any legal action or proceeding arising from or related to these terms or our services shall be brought exclusively in the courts located in London, England. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

Dispute Resolution Procedures

Before initiating formal legal proceedings, parties agree to attempt resolution through good-faith negotiation. If you have a dispute, you agree to first contact us in writing describing the nature of the dispute and your desired resolution. We will respond within 14 business days and work collaboratively toward a mutually acceptable solution. Only after such informal resolution attempts have been exhausted may formal legal action be pursued.

Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms and Conditions, together with our Terms of Service, Privacy Policy, Cookie Policy, and any specific project agreements, constitute the entire agreement between you and FrameLight regarding the subject matter herein and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

Modification of Terms

We reserve the right to modify these Terms and Conditions at any time by posting updated terms on our website with a new "Last Updated" date. Material changes will be communicated through reasonable means, such as email notification or prominent website notice. Your continued use of our services after such modifications constitutes acceptance of the updated terms. For ongoing projects, modifications will not materially affect rights and obligations established in existing project agreements.

Waiver

No waiver of any provision of these terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing by an authorized representative of FrameLight.
